These Terms of Service (“Terms”) govern your access to and use of the Lorenscheit Intelligence service, this website, and any related communications or deliverables (collectively, the “Service”), provided by Coselfing LLC (“Coselfing,” “we,” “us,” or “our”).
Important — please read carefully
The Service provides probability-based market intelligence and statistical analysis only. It is not investment advice, financial advice, legal advice, tax advice, or a recommendation to buy or sell any security, derivative, or other financial instrument. See Section IV for the full disclaimer.
By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
I.Eligibility
To use the Service you must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. You represent that you are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction.
The Service is directed to sophisticated individuals conducting their own investment research. You are solely responsible for determining whether the Service is appropriate for you, and for complying with any laws and regulations that apply to you.
II.The Service
The Service delivers time-stamped probability signals and market-regime commentary derived from Black-Scholes pricing, Monte-Carlo path simulation, and multi-timeframe sigma evaluation, across a universe of equities, commodities, and macro instruments. The Service may include:
- Daily signal delivery to subscribers.
- Sigma-zone indicators (Long, Short, Wait) with associated probability and time horizon.
- Periodic market-regime briefings.
- Correspondence with our analysts via the email channel identified at signup.
We may modify, suspend, or discontinue any portion of the Service at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
III.Subscription, fees, and cancellation
Access to the Service is provided on a monthly subscription basis at the rate stated on our website (currently €500 per month, net), unless a different rate is agreed in writing. Fees are billed in advance. Value-added tax or other applicable taxes may be charged in addition where required by law.
You may cancel your subscription at any time by sending written notice to lorenscheit.ki@gmail.com. Cancellation is effective at the end of the then-current billing period, and no partial refunds are given for unused portions of a period. If you have paid for future periods and wish to cancel, we will prorate and refund amounts pertaining to periods not yet commenced.
We may suspend or terminate your access for non-payment or for breach of these Terms.
IV.No investment advice; risk disclosures
No advisory relationship
Coselfing LLC is not registered as an investment adviser, broker-dealer, or commodity trading advisor with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, or any state or foreign regulator, and does not purport to be. Nothing in the Service creates an advisory, fiduciary, brokerage, or similar relationship between you and Coselfing.
Not personalized advice
All content in the Service is impersonal, generic market commentary delivered uniformly to all subscribers. It does not take into account your personal financial situation, investment objectives, risk tolerance, or other circumstances. You should consult your own licensed financial, legal, and tax advisors before making any investment decision.
Risk of loss
Trading in securities, commodities, and derivatives involves substantial risk. You can lose some or all of your capital. Leverage, if used, can magnify losses as well as gains. Past performance, whether referenced in the Service or elsewhere, is not indicative of future results. Any performance figures we publish are historical, are based on signals that were published before the corresponding price movement, and do not reflect trading costs, slippage, taxes, or the discipline required to replicate them.
Your decisions are your own
You are solely responsible for any trade you place, any position you hold, and any financial outcome you experience. You agree that Coselfing shall have no liability for any loss, damage, or cost resulting from action taken — or not taken — in reliance on the Service.
V.Intellectual property
All content in the Service, including signals, commentary, methodology descriptions, visualizations, code, and the website itself, is owned by Coselfing LLC or its licensors and is protected by copyright, trademark, and other laws.
Subject to these Terms, and for the duration of your paid subscription, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own individual investment research. You may not:
- Redistribute, resell, publish, or make available the Service or any signal, in whole or in part, to any other person.
- Use the Service to operate a managed account, a pooled investment vehicle, or any other service for the benefit of third parties.
- Use automated means to scrape, harvest, or replicate the Service.
- Reverse-engineer or otherwise attempt to derive the source code, models, or methodology underlying the Service.
- Use the Service in violation of any applicable law or regulation.
VI.Your account and security
You agree to provide accurate, current, and complete information when requesting access, and to keep your contact and payment information up to date. You are responsible for safeguarding any credentials issued to you and for all activity under your account. Notify us promptly at lorenscheit.ki@gmail.com if you suspect unauthorized access.
VII.Termination
We may suspend or terminate your access to the Service immediately, with or without notice, if we believe you have violated these Terms or engaged in conduct that poses risk to us, other users, or our service providers. Upon termination, your license to use the Service ends, and sections intended to survive termination — including Sections IV, V, VIII, IX, X, and XI — continue in effect.
VIII.Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSELFING AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AFFILIATES DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SIGNAL OR ANALYSIS WILL BE ACCURATE OR PROFITABLE.
IX.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSELFING OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the above limitations apply to the maximum extent permitted.
X.Indemnification
You agree to indemnify, defend, and hold harmless Coselfing and its officers, members, employees, and affiliates from and against any claim, liability, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; or (d) any trade, investment, or financial decision you make.
XI.Governing law and dispute resolution
Governing law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the existence, breach, termination, enforcement, interpretation, or validity of them, shall be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be held in Sheridan, Wyoming (or, at your election, by video conference). The arbitrator shall issue a reasoned award in writing. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver
YOU AND COSELFING AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A CLASS PROCEEDING.
Opt-out
You may opt out of this arbitration and class-waiver provision by sending written notice within 30 days of first accepting these Terms to lorenscheit.ki@gmail.com with the subject line “Arbitration Opt-Out.” If you opt out, disputes shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you and we consent to the personal jurisdiction of those courts.
XII.Changes to the Terms
We may update these Terms from time to time. When material changes are made, we will update the effective date above and, where practical, notify active subscribers by email. Continued use of the Service after a change constitutes acceptance of the updated Terms.
XIII.Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coselfing regarding the Service and supersede any prior agreement.
Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
